TERMS OF REFERENCE
Muslims for Human Rights (MUHURI) is a National Public Benefit Organization based at the Coast of Kenya, dedicated to promoting and protecting human rights, with a specific focus on marginalized communities.
MUHURI seeks to have a review of its Board and Management Policies and Operations to ensure its vision on the realization of a Just Society Anchored on Human Rights and Constitutionalism,
Objectives:
The main objective of this consultancy is to review MUHURI’s Board and Management policies and operations to ensure they are aligned with best practices, legal requirements, and the organization’s strategic objectives. Specifically, the consultant will:
- Review existing Board and Management policies, including governance, financial management, human resources, and program implementation, and identify areas for improvement. Identify and Develop Board Protocols including Communication and channels of Engagement.
- Identifying Strength, Weaknesses, Opportunities, and threats (SWOT Analysis) in the current policies and Operations.
- Conduct a gap analysis to determine areas where policies and operations do not meet legal requirements or best practices. The Consultant should be able to develop Recommendations addressing those Gaps.
- Develop recommendations for enhancing policies and operations to strengthen governance, accountability, and effectiveness.
- Development of New Policies as per the Recommendations.
Expected Deliverables
- Inception Report detailing proposed Methodology, Approaches and Workplan.
- Draft Reports on Findings, Conclusions and Recommendations.
- Validation Report from the Validation exercise of the Draft Reports
- Final report incorporating Views.
- Revised Policies, New policies and Guidelines.
Final report incorporating feedback from stakeholders and the Board.
Action plan for implementing approved recommendations.

Key Qualifications and Competencies
The consultant must demonstrate:
- Extensive experience in organizational development, governance, and policy review, preferably in the human rights and CSO sector in the past 3 years.
- At least a master’s degree in development studies/social sciences or relevant dockets
- Strong knowledge of best practices in governance, including board management, financial management, and human resources.
- Familiarity with the legal and regulatory framework governing non-profit organizations in Kenya.
- Proven track record of professional execution of similar consultancies particularly with Human Rights Organizatiosn.
- Ability to articulate issues objectively and present reports clearly and within agreed timeframes.
- Excellent analytical, writing, and communication skills

- Sample report of similar assignments conducted.
- Reference letters of at least two organizations who engaged the firm/Consultant’s services.
